This Data Processing Agreement (“Agreement” or “DPA”) forms part of the Terms of Service and governs how TrackMI GPS Tracking Solutions (“TrackMI,” “Processor,” “we,” “us”) processes personal data on behalf of the Customer (“Controller,” “you”).
1. Definitions
- Personal Data: Any information related to an identified or identifiable natural person.
- Processing: Any operation performed on Personal Data (e.g., collecting, storing, transmitting, analyzing).
- Controller: The entity that determines the purposes and means of data processing (you).
- Processor: The entity that processes data on behalf of the Controller (TrackMI).
2. Purpose of Processing
TrackMI processes Personal Data solely for the purpose of providing GPS tracking services, including:
- Device activation
- Location data transmission
- Data storage and retrieval
- Customer support
- Account and billing management
No data is processed for any purpose except those explicitly stated or required by law.
3. Controller Responsibilities
You agree that:
- You are responsible for ensuring lawful use of GPS tracking and monitoring.
- You will comply with all applicable privacy, employment, and surveillance laws.
- You obtain consent or provide notice to individuals, where required by law.
- You will not instruct TrackMI to process data unlawfully.
TrackMI is not liable for your misuse or unlawful tracking activities.
4. Processor Obligations
TrackMI agrees to:
- Process data only on documented instructions from the Controller
- Implement appropriate security measures
- Restrict access to authorized personnel
- Ensure confidentiality obligations are in place
- Assist with data access or deletion requests, when legally required
- Notify you of any data breach without undue delay
- Not subcontract processing without equivalent protections in place
5. International Transfers
If Personal Data is transferred or stored outside your jurisdiction:
- Transfers will comply with applicable data protection laws
- Adequate protections or legally recognized safeguards will be applied
6. Security Measures
TrackMI uses industry-standard protections, including:
- Encryption in transit and at rest
- Secure servers, firewalls, and access controls
- Authentication safeguards
- Regular system monitoring
7. Data Retention & Deletion
TrackMI retains Personal Data only as long as necessary to:
- Provide the Services
- Fulfill legal obligations
- Resolve disputes
Upon termination or request, TrackMI will delete or return Personal Data except where retention is legally required.
8. Data Breach Notification
In the event of a confirmed data breach affecting Personal Data:
- TrackMI will notify the Controller promptly
- TrackMI will provide details and support mitigation efforts
9. Subprocessors
TrackMI may engage reputable third-party service providers (e.g., hosting platforms, cloud services) that meet equivalent data protection standards. A current list is available upon request.
10. Term & Termination
This DPA remains in effect as long as TrackMI processes Personal Data for the Controller.
Upon termination of services, TrackMI will return or delete data as outlined in Section 7.
